IFCO is seeking a full-time Legal Counsel in our Pullach, Germany office (preferred) to assist our Legal Team in our growing global presence. IFCO is looking for an experienced attorney. We anticipate occasional travel between various offices will be required. This person will report to our General Counsel and work collaboratively with outside counsel.
This person will have significant interaction with sales and operational functions, staff, clients, potential clients and outside counsel, as well as senior leadership, financial, risk and human resources staff in Europe and the US. Successful candidates should be committed to excellence and motivated by the prospect of building a leading, global sustainable supply chain pooling company.
Key responsibilities:
Assisting sales teams in preparing, structuring and negotiating framework agreements with potential clients
Assisting with review and negotiation of vendor and other relevant contracts
Assisting in maintaining, reviewing and updating commercial contract templates including cross jurisdictional contracts
Advising management teams on corporate law matters
Preparing and negotiating confidentiality agreements for potential engagements with clients, vendors and consultants.
Sharing responsibility for organizing and maintaining official corporate records
Assisting in drafting other corporate agreements such as consulting agreements, inter-company agreements and fee sharing agreements.
Assisting in the development, maintenance and effectuation of global compliance policies and other regulators, conflicts of interests, sanctions law and other laws and regulations applicable to the business.
Coordinating with and supervising administrative personnel regarding the implementation and execution of global compliance policies.
Assisting with performance of periodic compliance reviews.
Liaising with outside counsel and staff on any compliance-related questions and issues as they arise.
We expect:
Must be a German- (with second qualification in the UK or US preferred), US- or UK qualified lawyer
2 to 5 years of experience in general commercial and/or corporate law at a corporate law firm and/or relevant in-house experience
Significant experience with negotiating commercial agreements
Significant in advising on corporate matters
Experience in drafting corporate agreements.
Strong verbal communication skills
Customer focused and «can-do» attitude
Must be able to effectively communicate with different business functions and negotiate with suppliers and customers
Strong written communication skills
Ability to effectively-multi-task and balance a variety of projects simultaneously
Experience in advising on EU competition law a plus
Experience in advising companies regarding internal compliance policies a plus
Experience in data protection law a plus
Experience in management of compliance a plus
